Chief Financial Officer

Own financial strategy, capital planning, reporting and controls; lead fundraising and investor relations and build the finance function for a company approaching its first clinical trials.

About the role

As SPV Therapeutics advances SPV374 toward the clinic, it needs a finance leader who can turn a scientific plan into a fundable, well-controlled operating plan. The Chief Financial Officer is a member of the executive team and a close partner to the CEO and the Board, with responsibility for financial planning, capital strategy, accounting and reporting, tax, treasury, risk and investor relations.

This is a hands-on role in a lean organization. The CFO will build the finance, procurement and reporting infrastructure that a clinical-stage company requires, and will help the company prepare for future public-market readiness.

Financial strategy and planning

  • Develop the long-range financial plan, annual budget and cash-runway forecasts tied to clinical and CMC milestones.
  • Model financing scenarios and recommend the timing, size and structure of equity, debt and non-dilutive capital.

Capital raising and investor relations

  • Lead financing processes with the CEO, including materials, data-room preparation, diligence and negotiation.
  • Manage relationships with existing and prospective investors, lenders and banking partners; support licensing and partnering transactions.

Accounting, controls and compliance

  • Oversee GAAP accounting, month-end close, audit, tax (including R&D credits and transfer pricing) and treasury.
  • Design and maintain internal controls, approval policies and vendor and CRO/CDMO contract governance.
  • Prepare Board and committee reporting; support audit committee work and corporate governance.

Organization

  • Build the finance team and systems; manage outside accountants, auditors and advisors.
  • Partner with legal and the Corporate Secretary on corporate records, equity administration and regulatory filings.

Required qualifications

  • 12+ years of progressive finance experience, including 5+ years in a senior finance leadership role in biotechnology, pharmaceuticals or life-sciences technology.
  • Experience raising capital (venture, crossover, public offerings or strategic) and supporting M&A or licensing transactions.
  • Strong command of U.S. GAAP, equity-compensation accounting, R&D accounting and clinical-trial cost accrual.
  • Bachelor's degree in accounting, finance or a related field; CPA and/or MBA strongly preferred.
  • Excellent communication skills and the ability to translate complex science and finance for diverse audiences.

Preferred qualifications

  • Experience with SEC reporting, Sarbanes-Oxley readiness or an IPO.
  • Familiarity with grants and non-dilutive funding, including SBIR/STTR.
  • Experience in an international structure with Australian, Canadian or European entities.

Compensation & benefits

Compensation includes a competitive base salary, an annual performance bonus and an equity award. Benefits are expected to include medical, dental and vision coverage, a retirement plan and paid time off. Final terms are set by the Board of Directors on the CEO's recommendation.
